Why Source Code Escrow?
Source code escrow is a service where an escrow agent (the escrow agent) holds the source code files of mission-critical software and ensures that the source code is delivered upon a contractually agreed event (between the software owner and the software licensee). The purpose of source code escrow is to reduce the licensee's dependency through continuity. The use of the software should also be guaranteed if the source code owner ceases to exist or no longer supports the software.
The source code trustee in the software license model
The licensee acquires software from the licensor which it operates on its own IT infrastructure/hardware (self-hosted). Adjustments to the layout of e.g. front and backend layout are possible without access to the source code. Far-reaching changes to the basic and security functions can only be made with access to the source code. Maintenance and further development of the software is therefore only possible by the licensor. If the licensor ceases to exist (e.g. due to insolvency), the licensee can only use the software in its latest version. Developments such as security updates and functional improvements are excluded.
As a neutral trustee (escrow agent), DENIC resolves this business-critical conflict of interest by safely storing the source code. The trust agreement specifies the reasons for release between the licensor (supplier) and the licensee (beneficiary). If a contractual event occurs, the trustee hands over the source code to the beneficiary licensee. This ensures that the software can continue to be used and further developed without restrictions in the event of a crisis.
