What is IP escrow?
Customers often negotiate intellectual property escrow agreements (IP escrow) with their suppliers. This is how an IP escrow agreement works: The customer needs a reliable source for its products. Therefore, the customer asks its supplier to deposit all the intellectual property required to manufacture the supplier's product in a trust account with a trust company. The trust company keeps the intellectual property in safekeeping and undertakes to only release it to the customer under certain circumstances. These circumstances are usually business-critical events, e.g. if the supplier has to close its business.
